Explain the differenceWhat it is
A KmAG is an AG-type company with one or more unlimited-liability general partners and a mandatory supervisory body elected by the general meeting. Digitize includes the Aktienbuch and capital raise by default.
Kommanditaktien under OR 764 to 771 are recorded on the company register. Optionally, an AG/KmAG may add Ledger shares as Registerwertrechte under OR 973d. GmbH has no ledger path.
How it works
Four steps from incorporation to a settlement-ready share register — ledger only if you enable the OR 973d add-on.
Articles are notarised, naming each Komplementär and establishing the Aufsichtsstelle. A DLT statute clause is only required if you enable Ledger shares.
Kommanditaktien are issued onto the Aktienbuch. Campaigns can settle after compliance approval without requiring a token deploy.
Subscriptions settle in Swiss francs, bank to bank, through the SIX bLink interface, with no custody of investor funds.
Your cap table becomes a live Aktienbuch, updated with every issuance and transfer. Optional ledger balances mirror the register when enabled.

Holders transfer Kommanditaktien directly, with transfer restrictions under Vinkulierung OR 685 enforced before any change settles.
Grant employee shares on the same register as all other holders, with vesting and allocations recorded as book entries.
Distribute profits to shareholders in Swiss francs through bLink, settled bank to bank against the live register.
Reflect Komplementär management and Generalversammlung resolutions, keeping decision rights and the supervisory mandate clearly recorded.
The Aufsichtsstelle exercises its OR 768 oversight through multisig controls, while shareholders retain non-custodial keys to their shares.
Trust and compliance
The KmAG solution is built on Swiss corporate and financial market law, with each safeguard mapped to a statutory basis.
Raises within FinSA Art. 36 stay under CHF 8M / 499 investors per issuer over 12 months when the issuer's facts qualify — not a platform licence exemption.
Investors own the shares; the company keeps the list. Invesdors is not a Verwahrungsstelle. On the optional ledger path, holdings are non-custodial Registerwertrechte under OR 973d.
All infrastructure and data are hosted in Switzerland, keeping your register and investor records within Swiss jurisdiction.
KmAG governance follows OR 764 to 771, including the mandatory Aufsichtsstelle supervisory body required under OR 768.
